Terms of Service

Please read these terms carefully before using the Tariff Recoveries USA LLC website or engaging our services.

1. Acceptance of Terms

By accessing or using the website located at tariffrecoveriesusa.com (the "Site") or by engaging the services of Tariff Recoveries USA LLC ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms apply to all visitors, users, and clients of the Site and our tariff refund recovery services. Use of our services by a business entity constitutes acceptance by that entity and its authorized representatives.

2. Description of Services

Tariff Recoveries USA LLC provides IEEPA tariff refund recovery services to U.S. importers, including but not limited to:

  • Review and analysis of CBP entry summaries and import records
  • Identification of qualifying IEEPA tariff add-ons subject to refund
  • Filing of formal CBP protests for liquidated entries
  • ACE portal management and ACH electronic refund enrollment
  • Preparation and submission of CAPE declarations
  • Monitoring of CBP, Court of International Trade, and government legal proceedings
  • Tariff Advance Program — purchase of verified tariff refund receivables

The scope of services for each client is governed by a separate written engagement agreement. These Terms of Service apply to the use of the Site and initial consultations; specific service terms are set forth in the applicable engagement agreement.

4. Client Engagement

A formal client engagement commences only upon execution of a written engagement agreement signed by both parties. Receipt of a free consultation, submission of an inquiry form, or exchange of emails does not constitute a binding engagement.

We reserve the right to decline to represent any potential client for any lawful reason. An engagement agreement will specify the scope of services, fees, responsibilities of each party, and all other material terms of the relationship.

5. Fees & Contingency Structure

Our standard fee structure is contingency-based: we charge a percentage of the tariff refund amount we recover on your behalf, as set forth in your engagement agreement. No fee is earned unless and until a recovery is made.

  • No upfront fees, retainers, or hourly charges under our standard contingency arrangement
  • The contingency percentage and any applicable minimums are disclosed and agreed upon in the written engagement agreement before any work commences
  • For the Tariff Advance Program, separate pricing terms apply as set forth in the applicable receivable purchase agreement
  • Out-of-pocket expenses (such as government filing fees, if any) may be addressed separately in the engagement agreement

If a refund is reduced, delayed, or denied by CBP or any appellate authority, our fee adjusts accordingly in proportion to the actual recovery received.

6. Client Obligations

To enable us to perform services effectively, clients agree to:

  • Provide accurate, complete, and timely information and documentation as reasonably requested
  • Cooperate with our team and any licensed professionals engaged on your behalf
  • Promptly notify us of any changes in your import status, CBP communications, or legal proceedings affecting your entries
  • Execute necessary authorizations (including Power of Attorney for customs broker filings) as required to submit claims on your behalf
  • Disclose any known customer pass-through arrangements, transfer pricing structures, or prior refund claims related to the same entries
  • Not take independent action regarding the covered entries without our advance written consent during the engagement period

7. Confidentiality

Both parties agree to treat as confidential all non-public business information, customs data, financial records, and proprietary information shared in connection with a client engagement. We will not disclose your confidential information to third parties except as required to perform the contracted services or as required by law.

Information you provide through the Site's contact forms or during consultations is treated as confidential and is not shared with third parties for marketing purposes. See our Privacy Policy for details.

8. Intellectual Property

All content on this Site — including text, graphics, logos, page layouts, and proprietary processes — is the property of Tariff Recoveries USA LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our prior written consent.

Nothing in these Terms grants you any license to use our trademarks, trade names, or service marks.

9. Disclaimers

THIS SITE AND ALL INFORMATION PROVIDED HEREIN ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We make no representation or warranty that:

  • Any refund will be recovered, or that any particular recovery amount or timeline can be guaranteed
  • CBP's CAPE portal will launch on any specific date or function as described
  • The legal landscape governing IEEPA refunds will not change due to government appeals or new legislation
  • The Site will be available without interruption or free from errors

Results vary by case. Past performance in recovering refunds for other clients does not guarantee similar results for your claim.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TARIFF RECOVERIES USA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising under these Terms or related to our services shall not exceed the total fees paid by you to us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tariff Recoveries USA LLC and its members, officers, employees, agents, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your breach of these Terms; (c) any inaccurate or incomplete information you provide to us; or (d) any third-party claims related to tariff costs you passed through to customers.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in Miami, Florida, under the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. Each party shall bear its own costs of arbitration unless the arbitrator awards otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will update the "Last Updated" date at the top of this page when changes are made. Material changes will be communicated to active clients via email. Your continued use of the Site or services after any changes take effect constitutes acceptance of the revised Terms.
